Terms of Service

The agreement governing your use of Ticketbaba — for organizers, attendees, and anyone in between.

Agreement to Terms

These Terms of Service ("Terms") form a binding legal agreement between you and Ticketbaba, Inc., a California corporation ("Ticketbaba," "we," "us," or "our"), governing your access to and use of the Ticketbaba platform, websites, mobile applications, and related services (collectively, the "Platform"). By creating an account, accessing, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms.

These Terms incorporate by reference our Privacy Policy, which explains how we collect, use, and share information. If you use the Platform on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to that organization.

If you do not agree to these Terms, you must not access or use the Platform. We may revise these Terms from time to time as described in the "Changes to These Terms" section, and your continued use after revisions take effect constitutes acceptance of the updated Terms.

Definitions

The following capitalized terms have the meanings set out below wherever they appear in these Terms:

Platform
The Ticketbaba technology platform, including our websites, dashboards, mobile applications, and APIs that enable the creation, sale, and management of event tickets.
Organizer
A user with an organizer account who creates events and sells tickets through the Platform. Organizers are the sellers and merchants of record for their events.
Attendee
A user who purchases, holds, or uses a Ticket to attend an event listed on the Platform.
Ticket
A revocable license to attend a specific event, typically delivered as a QR code and subject to the Organizer's rules and these Terms.
Content
Any text, images, logos, branding, event details, or other materials uploaded, created, or made available through the Platform by you.
Fees
The per-ticket platform fee and any other amounts charged by Ticketbaba as described in the "Platform Fees & Taxes" section.
Stripe
Stripe, Inc. and its affiliates, the third-party payment processor that powers payments and payouts on the Platform via Stripe Connect.

Eligibility & Accounts

You must be at least 18 years old and capable of forming a binding contract to create an account or use the Platform. By using the Platform, you represent and warrant that you meet these requirements and that all information you provide is accurate, current, and complete.

When you maintain an account, you agree to:

  • Provide and keep your account information accurate, current, and complete
  • Keep your login credentials, including any two-factor authentication codes, secure and confidential
  • Take responsibility for all activity that occurs under your account
  • Notify us promptly through the contact form of any unauthorized access to or use of your account

You may sign in using an email and password or passwordless phone one-time-password (OTP) login delivered by SMS. You are responsible for maintaining access to the phone number and email associated with your account, and for any actions taken by anyone you allow to use your account or to whom you provide your credentials.

The Platform & Our Role

Ticketbaba is a technology provider. We supply software that lets Organizers create events, list and sell Tickets, and manage attendees. We are not the host, producer, promoter, or operator of any event listed on the Platform, and we do not control, endorse, or assume responsibility for any event.

Organizers are the sellers and merchants of record for their events. The contract for the sale of a Ticket is between the Attendee and the Organizer. Any questions, disputes, or claims relating to an event, its content, or the Tickets sold for it are between the Attendee and the Organizer, and the Organizer is solely responsible for delivering the event and the attendee experience.

Organizer Terms

If you use the Platform as an Organizer, you are solely responsible for your events. This includes ensuring that each event is lawful, that your listings are accurate and not misleading, that you hold all required permits and licenses, that you collect and remit any applicable taxes, and that you deliver the attendee experience you advertise.

As an Organizer, you agree that you are responsible for:

  • The legality, safety, and conduct of your events
  • The accuracy and completeness of your event listings, pricing, and descriptions
  • Setting and clearly communicating your own refund, transfer, and cancellation policies
  • Determining, collecting, and remitting all applicable taxes on ticket sales
  • Responding to and resolving attendee questions, complaints, refund requests, and disputes

With respect to the personal data of your Attendees, you act as an independent data controller. You are responsible for handling that data in compliance with applicable law and your own privacy obligations. Our handling of data is described in our Privacy Policy.

Stripe & Payment Processing

Payments on the Platform are processed by Stripe through Stripe Connect. Each Organizer connects its own Stripe account, and ticket revenue is paid directly to the Organizer's connected account. Ticketbaba does not hold, control, or take custody of ticket proceeds, and we are not a bank, money transmitter, or payment processor.

To sell Tickets, Organizers must create and maintain a Stripe account and must accept and comply with the Stripe Connected Account Agreement and any other applicable Stripe terms. Your relationship with Stripe is governed by your agreements with Stripe, not by these Terms.

Stripe is responsible for processing charges, issuing payouts, and handling payment disputes and chargebacks under its own terms. Ticketbaba does not control the timing or availability of payouts and is not responsible for Stripe's services, fees, holds, reserves, or decisions. Stripe may charge its own processing fees separate from our Fees.

Platform Fees & Taxes

Ticketbaba charges a per-ticket platform fee on each paid Ticket sold through the Platform. As of the date of these Terms, the platform fee is 3.7% + $1.49 per paid ticket, as described on our pricing page. Free tickets are not subject to the platform fee unless otherwise stated.

We may change our Fees from time to time. We will provide reasonable advance notice of fee changes, and changes apply to ticket sales made after the change takes effect. Stripe's processing fees are separate from and additional to our Fees.

All amounts are stated and charged in the applicable currency for the event. You are responsible for any taxes, duties, or governmental charges associated with your transactions, except for taxes based on Ticketbaba's net income. Organizers are solely responsible for determining, collecting, and remitting all taxes applicable to their ticket sales.

Attendee Terms & Ticket Purchases

A Ticket is a limited, revocable license to attend a specific event, subject to the Organizer's rules and these Terms. The Organizer may set terms governing entry, conduct, age restrictions, and other conditions, and may revoke a Ticket for violations of those rules or applicable law.

When you purchase or hold a Ticket, you understand that:

  • Tickets are typically delivered as QR codes that are scanned for entry at the event
  • You may add eligible Tickets to Apple Wallet or Google Wallet for convenience
  • Tickets may be transferred only where the Organizer has enabled transfers, and subject to any conditions the Organizer sets
  • Unauthorized resale, duplication, or commercial exploitation of Tickets is prohibited and may result in a Ticket being voided

The Organizer, not Ticketbaba, is responsible for honoring valid Tickets and for the event itself. Any refund or remedy for a Ticket is subject to the Organizer's policies and the "Refunds, Cancellations & Event Changes" section below.

Refunds, Cancellations & Event Changes

Each Organizer sets its own refund, transfer, and cancellation policy and is responsible for communicating that policy to Attendees and for issuing refunds through the Ticketbaba dashboard. Ticketbaba does not set refund policies and does not decide whether an Attendee is entitled to a refund.

When an Organizer issues a refund, the original ticket charge is returned to the Attendee's payment method through Stripe, and the associated platform fee is adjusted accordingly. Stripe processing fees may be non-refundable in accordance with Stripe's terms.

If an event is canceled, postponed, rescheduled, or materially changed, the Organizer is responsible for notifying Attendees and for any refunds or remedies in accordance with its stated policy and applicable law. Ticketbaba may, but is not obligated to, assist with communications, and is not liable for an Organizer's failure to deliver an event or to honor its refund policy.

Acceptable Use / Prohibited Conduct

You agree not to use the Platform to, and not to permit any third party to:

  • Create, promote, or sell tickets for events that are unlawful or that violate any applicable law or regulation
  • Engage in fraud, money laundering, or any deceptive, misleading, or illegal financial activity
  • Scalp, scrape, harvest, or resell tickets or data in violation of an event's terms or applicable law
  • Impersonate any person or organization or misrepresent your affiliation with any person or organization
  • Upload, transmit, or distribute viruses, malware, or any malicious or harmful code
  • Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Platform, our infrastructure, or other users' accounts
  • Infringe or misappropriate the intellectual property, privacy, or other rights of any person or entity

We may investigate and take action against any suspected violation of this section, including removing content, suspending or terminating accounts, and reporting activity to law enforcement.

User Content & License

You retain all ownership rights in the Content you upload or make available through the Platform, including your event listings, logos, and branding. We do not claim ownership of your Content.

You grant Ticketbaba a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting and display), and display your Content solely as needed to operate, provide, and improve the Platform and to perform the services you request, such as listing your events and delivering Tickets to Attendees.

You represent and warrant that you own or have all necessary rights to your Content, that your Content does not infringe or violate the rights of any third party, and that your Content complies with these Terms and applicable law. You are solely responsible for your Content.

Intellectual Property

The Platform, including the Ticketbaba name, logo, user interface, designs, text, graphics, software, and all related intellectual property, is owned by Ticketbaba or its licensors and is protected by intellectual property and other laws. These Terms do not transfer any ownership rights to you.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes. You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or attempt to extract the source code of any part of the Platform, except to the extent such restriction is prohibited by applicable law.

Third-Party Services

The Platform integrates with and relies on third-party services, each of which is governed by its own terms and privacy policies. These include Stripe for payments and payouts, Twilio for SMS one-time-password delivery, Apple Wallet and Google Wallet for digital passes, and Google reCAPTCHA for abuse prevention.

Your use of these third-party services may be subject to separate agreements with those providers. We do not control and are not responsible for the availability, performance, content, terms, or practices of any third-party service, and your dealings with them are solely between you and the relevant provider.

Mobile App & Scanning API

We provide a mobile application that authorized event staff use to scan and validate Tickets at the door. The scanner app authenticates to our API using a Bearer ApiToken that is scoped to a specific event, and only staff authorized for that event may scan its Tickets.

If you are granted access to the scanner app or the API, you agree to keep your ApiToken confidential, not to share it with unauthorized persons, and not to use the API except as intended for legitimate ticket scanning. You must not abuse, overload, reverse engineer, or attempt to circumvent the access controls of the API. We may revoke tokens and access at any time to protect the Platform.

Privacy

Your privacy matters to us. How we collect, use, share, and protect information in connection with the Platform is described in our Privacy Policy, and how we use cookies and similar technologies is described in our Cookie Policy. By using the Platform, you acknowledge those policies.

Disclaimers

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Platform will be uninterrupted, secure, error-free, or free of harmful components. Because Organizers, not Ticketbaba, are responsible for events, we do not guarantee that any event will take place as described, that any Organizer will perform, or that any event will meet your expectations.

Limitation of Liability

To the maximum extent permitted by law, Ticketbaba and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of or inability to use the Platform, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to these Terms or the Platform is limited to the total platform fees you actually paid to Ticketbaba in the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Ticketbaba and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your events, your Content, your use of the Platform, your violation of these Terms, or your violation of any law or the rights of any third party.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of that claim.

Suspension & Termination

You may close your account at any time through your account settings. Closing your account does not relieve you of obligations incurred before closure, including outstanding Fees or obligations to Attendees.

We may suspend or terminate your access to the Platform, in whole or in part, at any time if you violate these Terms, engage in fraud or unlawful activity, create risk or legal exposure for us, or otherwise threaten the integrity, security, or operation of the Platform. Where reasonably possible, we will try to notify you so that events already in progress can be resolved.

Upon termination, your right to use the Platform ends immediately. Provisions that by their nature should survive termination — including those relating to Content licenses, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law — will survive.

Dispute Resolution — Arbitration & Class-Action Waiver

Please read this section carefully, as it affects your legal rights. You and Ticketbaba agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration, rather than in court, except as set out below. Arbitration is more informal than a lawsuit and uses a neutral arbitrator instead of a judge or jury.

You and Ticketbaba agree to waive any right to a trial by jury and to bring or participate in any class, collective, or representative action. All claims must be brought in your or our individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by notifying us through our contact form and clearly stating your intent to opt out. If you opt out, the class-action waiver and arbitration requirement will not apply to you. Either party may also bring an individual claim in small-claims court for disputes within that court's jurisdiction.

Governing Law & Venue

These Terms and any dispute arising out of or relating to them or the Platform are governed by the laws of the State of California, without regard to its conflict-of-laws principles.

Subject to the "Dispute Resolution" section above, you and Ticketbaba agree that any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction and venue of those courts.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, our practices, or the law. The "last updated" date shown on this page indicates when these Terms were last revised, and the current effective date is June 25, 2026.

For material changes, we will provide reasonable notice, such as by posting a notice on the Platform or contacting you. Your continued use of the Platform after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform.

Miscellaneous

The following general terms apply to these Terms:

  • Entire agreement — These Terms, together with the policies they incorporate, constitute the entire agreement between you and Ticketbaba regarding the Platform and supersede any prior agreements.
  • Severability — If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver — Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment — You may not assign or transfer these Terms without our consent; we may assign these Terms as part of a merger, acquisition, or sale of assets.
  • Force majeure — We are not liable for any delay or failure to perform caused by events beyond our reasonable control.
  • Notices — We may provide notices to you through the Platform or the contact information associated with your account; you may contact us through the in-app contact form.
